A solar panel warranty is only as valuable as the party obliged to perform it, the conditions attached to the claim, and the remedy actually available to the buyer. A long headline warranty—such as 25 or 30 years of performance coverage—does not by itself protect a project’s revenue. When panels are imported, the buyer must also establish where the warranty applies, when coverage begins, what evidence is required, who pays for removal and replacement, and whether the exporting supplier has the legal and financial capacity to honor a claim years after shipment.
The practical question is not simply whether a module has a warranty. It is whether the warranty allocates the project’s real risks in a usable way. Import contracts, purchase orders, technical specifications, warranty certificates, and the manufacturer’s standard terms should therefore be reviewed together. If they conflict, the contract should state which document prevails.
These are separate protections and should never be treated as interchangeable.
Product warranty, also called a materials or workmanship warranty, covers defects in the module itself. Depending on the wording, this may include manufacturing defects, premature delamination, junction-box failures, broken internal connections, defective frames, abnormal corrosion, glass defects, or other faults attributable to materials and production. Its term is commonly shorter than the performance warranty, though the actual duration varies by supplier and module category.
Performance warranty, often called a power-output or linear power warranty, addresses electricity output over time. It promises that the module’s rated power will not fall below a stated percentage of its original nominal power at specified points during the warranty period. It does not automatically mean that any disappointing project yield is a warranty event. Lower generation can result from shading, soiling, inverter losses, cable losses, system downtime, irradiance conditions, temperature, installation design, or measurement method. Those are normally outside a module performance warranty.
A buyer should request both documents in their complete form rather than relying on a quotation, brochure, or data sheet. The commercial offer should identify the exact module model, bill of materials where relevant, manufacturing location if material to the transaction, and the applicable warranty version. A warranty written for a different model series may not apply to the delivered goods.
The most important performance terms are the first-year degradation allowance, the annual degradation rate thereafter, the guaranteed power level at the end of the term, and the baseline used for the calculation.
A linear warranty may, for example, permit a larger reduction in the first year and then a smaller annual decline for each later year. The buyer should calculate the guaranteed floor for the relevant year rather than focusing only on the final-year figure. Two warranties can reach a similar endpoint while providing materially different protection during the earlier operating years, when project debt service and expected cash flows may be more sensitive.

This distinction matters because a performance threshold expressed as a percentage can produce different claim outcomes depending on the baseline. The warranty should also identify the test conditions. Module ratings are generally stated under Standard Test Conditions (STC), but the document should specify the testing standard, allowable measurement uncertainty, laboratory requirements, sampling method, and whether the buyer may appoint an independent accredited laboratory if the parties disagree.
A performance claim based on field readings alone is often difficult to establish. Outdoor conditions do not replicate STC, and a low reading may reflect causes unrelated to module degradation. A credible warranty process recognizes this by defining how suspect modules are sampled, removed, shipped, tested, and evaluated.

This point is frequently overlooked in import transactions. The warranty may begin on the manufacturing date, shipment date, bill-of-lading date, delivery date, customs clearance date, commissioning date, or a stated period after manufacture. Each choice has different consequences.
Starting coverage at manufacture can reduce usable warranty life where panels spend extended time in warehousing, ocean transit, customs processing, or project staging. Starting at delivery may be more appropriate for an equipment purchase, while commissioning may better reflect the operational life of a project. A manufacturer may accept a commissioning-based start date only if registration is completed within a defined time and the project is commissioned within a maximum period after shipment.
The contract should identify the start event, the documents that prove it, the registration deadline, and the consequences of a late registration. It should also address partial deliveries. If containers arrive over several months, the warranty period should be traceable by batch or serial number rather than assumed to begin on one blanket date.
The phrase “repair or replace defective modules” leaves major commercial questions unanswered. A replacement panel may resolve the manufacturer’s direct product obligation while leaving the importer responsible for freight, customs charges, labor, crane access, system downtime, re-engineering, and the disposal of removed modules.
Read the remedy clause closely. It should state whether the warrantor may choose among repair, replacement, refund, or a credit, and whether that choice is unrestricted. Replacement is not always equivalent to restoration: the original module may no longer be produced, and a substitute could have different electrical characteristics, dimensions, connector types, frame design, or appearance. In string systems, electrical compatibility matters. A replacement with materially different current-voltage characteristics may affect string design or require additional engineering review.
Useful points to clarify include:
Many standard warranties exclude labor and consequential loss. That exclusion may be commercially acceptable for a small rooftop order where replacement access is simple. It carries a different risk profile for utility-scale arrays, remote sites, high roofs, floating systems, or installations where replacing one panel requires substantial site work. The appropriate response is not necessarily to reject the modules; it is to price the residual risk and negotiate where the project economics justify it.
Exclusions define the practical boundary of warranty coverage. They should be reviewed against the intended site and installation method, not merely accepted as standard legal language.
Common exclusions include improper installation, unauthorized repair or modification, misuse, abnormal mechanical loads, transport damage after delivery, inadequate maintenance, improper cleaning, corrosion caused by unsuitable environments, voltage or current beyond stated limits, fire, flood, lightning, power surges, vandalism, and other force-majeure events. Some exclusions are reasonable; the concern arises when broad wording allows almost any failure to be attributed to installation or external conditions.
Installation-related exclusions should be matched to the manufacturer’s installation manual. Check approved clamp zones, mounting rail positions, torque values, grounding requirements, connector compatibility, maximum system voltage, permitted mechanical loads, and restrictions on use near saltwater, ammonia, industrial pollutants, or high humidity. If the project conditions differ from the published manual, written approval should be obtained before procurement.
For bifacial modules, pay particular attention to rear-side conditions and mounting configuration. A warranty may not cover assumptions about bifacial energy gain, while certain mounting, reflection, or handling conditions can affect installation compliance. For modules installed in agricultural, coastal, desert, floating, or snow-prone environments, environmental exclusions should be examined in detail rather than inferred from a general product rating.
Certification documents also require careful interpretation. Compliance with standards such as IEC 61215 or IEC 61730 can support evidence that a module design has undergone relevant qualification and safety testing. It does not expand the contractual warranty, prove that every delivered module is defect-free, or determine who must pay claim-related costs.
Import buyers should distinguish among the module manufacturer, an export trading company, a local distributor, an affiliate, and a project contractor. A warranty statement bearing a brand name is not enough if the legal entity undertaking the obligation is unclear.
The purchase agreement should name the warrantor’s full legal entity, registered address, governing law, notice address, and the relationship between that entity and the factory. If the seller is a trading company but the manufacturer provides the product warranty, obtain the manufacturer’s warranty undertaking or an enforceable document confirming that coverage applies to the buyer and the specific shipment.
It is also important to determine whether the warranty is global or restricted by country, sales channel, or authorized distribution status. Some manufacturers limit coverage for modules purchased outside approved channels or imported into markets where another entity is designated to provide service. Parallel-market purchases can create a gap between a genuine product and a valid local warranty claim.
Financial continuity matters as much as legal wording. A 30-year promise cannot be assessed solely by the warranty duration. Buyers should consider the manufacturer’s operating history, production traceability, insurance arrangements where available, corporate structure, and the practical availability of service in the destination market. A parent-company guarantee, warranty insurance, escrow arrangement, or contractual retention may be relevant for large transactions, but each requires separate legal and financial review.
A warranty with no workable claims path is difficult to use. The procedure should state the notice period, required evidence, serial-number requirements, inspection rights, testing process, response time expectations if agreed, and dispute route.
At minimum, preserve the records needed to establish identity and condition: purchase contract, commercial invoice, packing list, bill of lading, serial-number list, delivery inspection report, installation records, commissioning evidence, maintenance logs, photographs, and any incident reports. Serial-number traceability is particularly important because it links a disputed module to the covered shipment.
Incoming inspection should be treated separately from the long-term warranty. Visible transport damage, broken glass, frame deformation, wet packaging, missing labels, and carton damage should be documented promptly upon receipt. Under many sale terms, transit damage claims and concealed manufacturing defect claims follow different procedures. Failure to note apparent damage at delivery can complicate recourse against a carrier or cargo insurer even when the module warranty remains theoretically available.
The contract should also avoid an unreasonable burden of proof. If only the manufacturer can decide whether a defect exists, and the buyer has no independent testing option, the claim process lacks balance. An agreed independent laboratory mechanism and a clear allocation of testing costs—especially where a defect is confirmed—can reduce later disputes.
Transferability matters in asset sales, refinancing, lease structures, and changes in the project company. Some warranties follow the modules automatically; others require notice, registration, or written consent. Certain terms may permit one transfer but not subsequent transfers, or may exclude assignments to parties outside a defined territory.
The buyer should confirm whether both product and performance warranties transfer, whether any fee applies, and what records the new owner must receive. A simple statement that the “warranty is transferable” is incomplete unless the process is documented. The original buyer should be able to pass on invoices, serial-number schedules, registration confirmation, and any approved installation records.
The manufacturer’s standard warranty is usually drafted as a general policy. A cross-border supply contract should address transaction-specific risk: delivery terms, inspection period, acceptance criteria, defect notification, title and risk transfer, documentation, dispute resolution, governing law, and remedies for non-conforming goods at delivery.
Incoterms rules allocate delivery obligations, costs, and risk between seller and buyer, but they do not replace a quality warranty or define the module’s long-term performance obligation. Likewise, cargo insurance addresses insured transit events, not a manufacturer’s workmanship liability. These protections must fit together without leaving a gap.
Before payment is finalized, compare the exact warranty text against the technical specification and negotiated commercial terms. The strongest solar panel warranty is not necessarily the one with the longest stated duration. It is the one that clearly identifies the covered product, provides a measurable performance threshold, survives the import and ownership structure, contains exclusions compatible with the installation, and offers a claim remedy that can be enforced without turning a defective panel into an unrecoverable project cost.
